Creator Monetization Terms

1. Overview

These Creator Monetization Terms ("Creator Terms") supplement the Memrly Terms of Service and govern your participation in the Memrly Creator Program. By enabling creator monetization on your account, you agree to these Creator Terms in addition to the Terms of Service and Privacy Policy.

In the event of a conflict between these Creator Terms and the Terms of Service, these Creator Terms shall prevail with respect to creator monetization matters.

2. Eligibility

To participate in the Creator Program, you must:

• Hold an active Pro tier subscription ($249/year)
• Be at least 18 years old
• Complete identity verification (Know Your Customer / KYC) as required by our payment processor
• Complete Stripe Connect onboarding to receive payouts
• Reside in a country supported by Stripe Connect
• Comply with all applicable tax laws in your jurisdiction

We reserve the right to deny or revoke eligibility at our discretion, including for violations of these Creator Terms, the Terms of Service, or the Acceptable Use Policy.

3. Revenue Split

Creators earn 85% of net revenue from monetized content. Memrly retains 15% as a platform fee.

Net revenue is calculated as the gross purchase price paid by the buyer, minus:

• Apple App Store commission (currently 15-30%) or Google Play Store commission (currently 15-30%), as applicable
• Any applicable taxes, chargebacks, or refunds

Example: A buyer pays $10 for premium album access. After a 30% app store commission ($3), the net revenue is $7. The creator receives $5.95 (85% of $7) and Memrly retains $1.05 (15% of $7).

4. Payouts

4.1 Minimum Payout Threshold

Payouts are issued when your accumulated earnings reach a minimum of $25 USD (or equivalent in your local currency).

4.2 Payout Schedule

Payouts are processed monthly. Earnings accumulated during a calendar month are processed and disbursed within 30 days of the end of that month, provided the minimum threshold is met.

4.3 Payment Method

All payouts are processed through Stripe Connect. You must maintain a valid, verified Stripe Connect account to receive payouts. Memrly is not responsible for delays or failures caused by incorrect Stripe account information.

4.4 Currency

Payouts are issued in the currency configured in your Stripe Connect account. Currency conversion fees, if applicable, are borne by the creator.

5. Tax Responsibilities

5.1 Your Obligations

You are solely responsible for determining, reporting, and paying all taxes applicable to your earnings from the Creator Program, including income tax, VAT, GST, and any other applicable taxes.

5.2 United States Creators

For creators in the United States, Memrly (via Stripe) will issue a 1099-K form for earnings that meet or exceed the IRS reporting threshold. You are responsible for reporting all earnings on your tax return, regardless of whether a 1099-K is issued.

5.3 Tax Withholding

We may be required by law to withhold taxes on payouts in certain jurisdictions. If withholding applies, you will be notified and the withholding amount will be deducted from your payout.

6. Prohibited Monetized Content

You may not monetize content that:

• Contains child sexual abuse material (CSAM) — zero tolerance, reported to authorities
• Depicts non-consensual intimate images
• Contains graphic violence, gore, or content glorifying harm
• Promotes hate speech, discrimination, or harassment
• Contains or promotes terrorism or extremist material
• Infringes on the intellectual property rights of others (copyrighted photos, trademarked material)
• Is spam, misleading, or deceptive
• Violates any applicable law

Monetizing prohibited content results in immediate suspension of monetization, potential account termination, and forfeiture of pending earnings associated with the prohibited content. See Section 8 for enforcement details.

7. Chargebacks and Refunds

7.1 Chargebacks

If a buyer initiates a chargeback or payment dispute for a monetized transaction, the chargeback amount will be deducted from your earnings balance. If your balance is insufficient, future earnings will be reduced until the chargeback amount is recovered.

7.2 Refunds

If a buyer receives a refund through the app store's refund policy, the corresponding creator earnings for that transaction are reversed.

7.3 Fraud

If we determine that a creator has engaged in fraudulent activity (e.g., self-purchasing, fake accounts, artificial inflation of earnings), all associated earnings may be forfeited and the account may be terminated.

8. Suspension and Termination

8.1 Suspension

We may suspend your participation in the Creator Program if:

• You violate these Creator Terms or the Acceptable Use Policy
• Your content is flagged for review and pending moderation
• Your Stripe Connect account becomes invalid or is suspended by Stripe
• We are required to do so by law

Upon suspension, you will be notified via email and given a 14-day window to appeal the decision by contacting support@memrly.com.

8.2 Termination

Your participation in the Creator Program terminates if:

• You cancel your Pro tier subscription
• Your account is terminated for any reason
• You are permanently removed from the Creator Program for repeated violations
• You request to leave the Creator Program

8.3 Pending Payouts on Termination

Upon termination:

• Earnings above the $25 minimum threshold will be paid out within 60 days of termination
• Earnings below the minimum threshold are forfeited
• Earnings associated with confirmed policy violations are forfeited

9. Modifications to These Terms

We may modify these Creator Terms from time to time. For material changes (including changes to the revenue split percentage or payout terms), we will provide at least 30 days' advance notice via email.

Your continued participation in the Creator Program after the effective date of modified terms constitutes acceptance. If you do not agree with the modified terms, you may leave the Creator Program.

10. Relationship

Your participation in the Creator Program does not create an employment, partnership, joint venture, or agency relationship between you and Memrly. You are an independent participant and are solely responsible for your content and tax obligations.

These Creator Monetization Terms are governed by the laws of Hong Kong SAR and are subject to the general provisions of the Memrly Terms of Service.
